Marex’s Group ESG policy aligns with the Group’s sustainability strategy and related KPIs. Marex’s activities are underpinned by what it considers to be strong governance and policies, including our ESG policy, to encourage responsible and sustainable business practices and deliver long-term value for our clients, colleagues, investors and stakeholders. The policy is principles-based and guides the business in fully integrating ESG considerations within our own operations and interactions with clients. The policy was reviewed in 2025. |

In alignment with our strategy, The Diversity, Equity & Inclusion (DE&I) goals and objectives for Marex are to create an engaged team that fully reflects the diversity of the communities that we serve and to play an active role in growing awareness of opportunities in our industry to broaden our talent pool. The Company is fully committed to promoting DE&I as part of a culture that values meritocracy, openness, fairness, transparency and impartiality and that will actively value differences. It recognises that people from different backgrounds and experiences enhance and bring valuable insights to the workplace. A Diversity, Equity & Inclusion Steering Group is responsible for setting the strategic goals and objectives for DE&I within Marex and for measuring and reporting its progress. The DE&I policy provides a clear framework for translating the Company’s commitment into action and outlines responsibilities of the wider DE&I team which includes regional sponsors, champions and a central working group. |
| Anti-Bribery and Corruption

Marex is committed to supporting the integrity of the financial system and combating financial crime across its operations. Financial crime includes money laundering and terrorist financing, sanctions violations, bribery and corruption, and fraud. As part of Marex’s commitment, the Financial Crime Committee has approved this Group Anti-Bribery and Corruption Policy. Marex’s continued success depends in a large part on the trust and confidence of its clients across the globe. Consistent with Marex’s zero-tolerance for bribery and corruption, this policy is designed to promote a corporate culture of ethical business practices and compliance with the letter and spirit of all applicable ABC laws. ABC is reflected into Marex’s risk appetite, which is set by the Board and monitored against a set of appetite metrics and Key Risk Indicators on a monthly basis. |

Marex expects the highest standards of conduct and integrity from employees in every aspect of their work. These expectations are outlined in the code of conduct guidance in our Employee Handbook, which is complemented by internal policies that detail the behaviours and standards we uphold. The Group Conflict of Interests policy sets out the general framework and approach that the Firm adopts for the identification and declaration, management, prevention, and where necessary avoidance of conflicts of interests. The Group Whistleblowing Policy is in place to ensure colleagues with legitimate concerns can raise them fairly and effectively. Our policy clearly sets out how colleagues can report any concerns, who to contact, how the issue will be handled and how confidentiality is maintained.
Other policies supporting the high standards of conduct we expect at Marex include Anti Bribery and Corruption, Anti Money Laundering, Fraud Prevention, Privacy and Data Protection, Data Breach, Third Party Security, ESG Policy, Conduct Risk, Preventing Discrimination and Harassment, and more. Marex operates a mandatory global compliance training programme which includes annual refresher training for all employees and new joiner training. This training is also supplemented with face-to-face training as required. Topics include Conduct, Financial Crime, Conflicts of Interest, Whistleblowing, Data Protection and Information Security. We have recently transitioned to a new training platform as part of our approach to continuous learning and development for our employees. |

The Group Modern Slavery Policy was updated in 2025. The policy sets out our zero-tolerance approach to modern slavery and human trafficking in our business and supply chains. The policy also outlines employee’s obligations including the requirement to report any concerns pertaining to modern slavery and human trafficking within our business and supply chains. Further, as per our whistleblowing policy, we actively support employees in raising concerns if they believe that anything illegal or unethical (including, but not limited to, a breach of our policies) is taking place. The Group’s Modern Slavery and Human Trafficking Statement sets out the commitment of the Directors to their corporate responsibility and to maintaining a culture within which ethical behaviour is promoted, in addition to setting out the steps taken to minimise the risk of modern slavery existing in the Group’s business or supply chains. Marex is committed to ensuring high standards are met when it comes to supplier relationships; as such, all suppliers are expected to meet the Marex Supplier Code of Conduct and abide by both relevant national and international standards, including those set out by the International Labour Organization, the UK Bribery Act 2010 and the UK Equality Act 2010. The code lays out our expected standards, including condemning bribery and corruption, strong action on modern slavery and forced and child labour, providing good working conditions and pay standards, data protection and diversity. In 2025, we updated our Supplier Code of Conduct. The Supplier Code of Conduct supports data collection around our Scope emissions. Suppliers will be required upon request to disclose their energy, GHG emissions, water and waste performance and targets to Marex and Marex’s Sustainability platform for emissions measurement, reduction and reporting. |

Cybersecurity, confidentiality, and data protection are at the core of our operations and critical for our clients. We are continuously innovating to evolve our business processes by ensuring they are faster, easier, and more efficient. However, these advancements come with inherent risks, not just in the technology itself, but also in the human element and the processes around them. At Marex our Information Security Policy Framework covers all aspects of cyber security from authentication to how we ensure cyber security when working with third parties. We take a continuous improvement approach to managing and developing this framework which consists of ten inter-connected policies. With the advancements of artificial intelligence in 2024, we have continuously enhanced our technology, personnel training and processes to effectively counter any potential threats. We have also made significant improvements on our Third-Party Security Policy to ensure robust oversight of supplier cybersecurity risks. We work closely with all our suppliers to identify and manage these risks effectively.
Information security and cyber risk training is mandatory across the Group and is delivered both by structured courses and ongoing ad hoc testing of staff on e.g. awareness of phishing emails. Alongside our active partnership with the FCA’s Cyber Coordination Group and various regulatory and government entities, we expanded our links with industry peer associations, including FS-ISAC, over the past year. These relationships enable us to stay updated on best practices, share expertise, and gain valuable insights to cyber threat intelligence affecting the industry as a whole. This collaborative approach strengthens our ability to protect our systems and respond swiftly to emerging threats. In 2025, our Cyber Security policies were updated including the Information Security Policy Framework and the Information Classification and Handling policy. When it comes to data protection, in 2025, we continued to build on the progress made in previous years, focusing on strengthening our data protection framework by enhancing our global controls especially in the U.S., Singapore and the United Arab Emirates. Marex has a comprehensive Privacy Governance Framework in place which complies with international data protection laws, including the General Data Protection Regulation. Marex recognises taxation as an important social consequence of doing profitable business in a jurisdiction, and our commitment to paying the right amount of tax in the right jurisdiction and at the right time reflects this. Taxation, both direct and indirect, is an important part of Marex’s contribution to the societies in which it operates. As such, Marex is committed to complying with tax laws in a responsible manner and to having open relationships with tax authorities wherever it operates. Marex’s tax risk appetite is low. Marex is committed to transparency of the taxes it pays. In 2025, Marex had an effective tax rate of —% (compared to the UK corporation tax rate of 25% for 2025) and made total worldwide corporation tax cash payments of $0 million (2024: $58100000 million). |
