Redomiciling to Bermuda from England and Wales

The Marex group (the “Group”) has completed its redomiciliation to Bermuda from England and Wales.

Our parent company, Marex Group plc, was previously incorporated in England and Wales and was a foreign private issuer listed on Nasdaq in the US. Compliance with both English corporate law and Nasdaq and SEC rules and regulations in the US resulted in considerable additional legal and administrative burdens for the Group. Its corporate structure and regulatory framework had also become more complex as a result of our significant growth in recent years, including through acquisitions.

Our redomiciliation to Bermuda was designed to reduce these legal and administrative burdens while at the same time provide an opportunity for us to reorganize the Group to simplify the corporate structure and regulatory framework.

At shareholder meetings held on May 21, 2026, shareholders voted in favor of our proposal to redomicile our parent company to Bermuda from England and Wales. Poll results are available through the links below.

Following our receipt of global regulatory approvals and the English High Court’s sanction of the scheme of arrangement on June 26, 2026, the Group completed its redomiciliation, which took effect at 08:41 UK on July 01, 2026. As of this time, all ordinary shares of our existing NASDAQ listed entity, Marex Group plc, were exchanged on a one-for-one basis for newly issued ordinary shares in the new Bermudan parent company, Marex Group Limited.

The last day of trading in Marex Group plc shares on the Nasdaq was June 30, 2026. Trading in the newly issued ordinary shares of Marex Group Limited on the Nasdaq began on July 01, 2026. Marex Group Limited’s trading symbol remains unchanged as “MRX”.

Shareholder value creation was our objective


The principal objective of the redomiciliation was to create shareholder value by:


1.  Simplifying the Group’s corporate structure and regulatory framework and delivering cost savings and efficiencies by reducing administrative burdens, and


2.  Aligning the US style corporate law of Bermuda with our listing on Nasdaq.

The redomiciliation has limited impact on the day-to-day operations of our business

The redomiciliation has no impact on our tax status. The Group operating companies’ jurisdictions of tax residence have not changed as part of the transaction and the new Bermuda parent company remains a UK taxpayer.

The Group continues trading on Nasdaq (under the symbol “MRX”) and continues to be governed by the rules and regulations of both Nasdaq and the SEC.

There has been no impact on the Group’s services, its day-to-day operations, credit ratings, financial statements or employee base.

The Group continues to have access to the same debt financing arrangements as it did previously.

There are no changes to the Group’s Board composition or its governance mandate, nor changes to the senior management team.

Shareholders’ rights and protections have been preserved under the Group’s new structure, with minimal changes made to the position of our existing shareholders under our new governing documents.

We’re very pleased to have completed the redomiciliation to Bermuda. Our corporate structure and regulatory framework had become complex due to our significant growth in recent years, including through acquisitions. This move is expected to rationalize our corporate structure and regulatory framework, deliver cost savings and efficiencies and brings us under the US style corporate law of Bermuda, which aligns with our listing on Nasdaq.
